Join us as a Mergers and Acquisitions Lawyer within one of the world's leading Investment Banking franchises. As part of this team, you advise bankers (including senior management) on legal regulatory and reputational issues relating to proposed M&A transactions being executed by the firm's clients. Review fairness opinions. Board presentations and related proxy disclosure (including updates in response to SEC comments).
You will manage and co-ordinate external counsel. Advise the firm's Investment Banking Committee in connection with its review of M&A's transactions, fairness opinions and valuation materials. Assist Conflict officers in identifying and addressing potential conflicts. Assist bankers in preparing and negotiating engagement letters and related agreements. Remaining current on developments in regulation and Delaware case law that impact investment banks and M&A transactions. Develop policies and procedures applicable to the M&A and Financial Advisory business. Advise the M&A Department regarding business practices. Your future colleagues

The role of the Investment Banking General Counsel at Credit Suisse is to act as a Trusted Advisor to this business. We play a crucial role in supporting and protecting the Investment Banking division in their transactions and strategic aims. We provide legal and regulatory advice to the banking teams as well as and co-ordinate with other GC Divisions. List of skills and experience we are looking for:
- A JD or equivalent and are a member of the NY State Bar
- Developed general M&A experience, including experience with public company transactions
- Proven experience of at least 3-5 years at a major corporate and securities law firm or similar sized investment bank
- Ability to communicate optimally at all levels
