Position Responsibilities

Morgan Stanley is seeking a coverage attorney within the institutional securities (investment banking and global capital markets) legal group, focusing on equity capital markets transactions. Knowledge of the U.S. securities laws, including the 1933 Act, 1934 Act and related rules and regulations. Experience with underwriting agreements, lock-up agreements and other capital markets documentation. In addition to documentation, attorney will help advise on disclosure, execution, risk and commitment committee matters, as well as work on other investment banking/capital markets-related projects. Opportunity to take on direct responsibility and support leading capital markets and investment banking businesses. Vice President or Executive Director-level position.

Qualifications:

Self-motivated, team-player with strong problem-solving and analytical skills.
3 to 10 years (law firm and/or in-house) capital markets legal
experience.
New York State bar admission / license.
