Morgan Stanley & Co. LLC seeks an Associate, Mergers and Acquisitions in New York, New York

Serve within the Mergers and Acquisitions Department (M&A), which is responsible for structuring and executing a wide range of complex domestic and cross-border transactions including acquisitions, divestitures, mergers, spin-offs, joint ventures, asset swaps, and defenses against unsolicited takeover attempts. Draft marketing materials. Participate in and organize management presentations. Engage in negotiation activities. Conduct due diligence. Analyze and evaluate financial models. Perform mergers and acquisitions pro forma impact analysis. Apply principles of corporate finance theory to financial valuation. Coordinate projects in a client-facing role, including liaising with potential buyers, clients, clients' legal counsel, other advisors, and team members from across the firm to provide guidance on capital structure and merger impact analysis.

Requirements :

Requires a Master's degree in Business Administration, Finance, Economics, Accounting, Mathematics, or related field of study and three (3) years of experience in the position offered or three (3) years of experience as an Analyst, Associate, Director, or related occupation in financial services. Will accept a Bachelor's degree and five (5) years of experience in lieu of a Master's degree and three (3) years of experience. Requires two (2) years of experience with: providing strategic advice to multinational corporate clients in Europe, Asia, North America, and South America on domestic and cross-border mergers, acquisitions, and divestitures; corporate finance including using advanced financial modeling to analyze clients' financial statements and create future projections; valuation methodologies including discounted cash flows, discounted equity value, comparable companies, sum-of-the-parts analysis, precedent transactions, and leveraged buyout modeling; executing and analyzing mergers and acquisitions (M&A) transactions for multi-billion dollar companies across multiple industry verticals and situations including mergers, acquisitions, divestitures, unsolicited defense, hostile offers, proxy contests, strategic partnerships, public and private debt placements, share repurchases, spin-offs, leveraged buyouts, and leveraged capitalization transactions; liaising with clients and clients' legal counsel on legal agreements for M&A transactions; collaborating across all functional areas at an investment bank including firm management, debt and equity capital markets, compliance, legal, and industry investment banking coverage; presenting to senior management on merger impact and complex capital structure analysis; financial market data tools, software, and programs including Capital IQ, ThomsonOne, Bloomberg, Intralinks, and Merrill DatasiteOne; and leading and participating in company due diligence including financial, accounting, tax, and business/operations diligence with internal and external parties including auditors, counsel, and financial and tax advisors.
