EAC Compliance & Operational Risk Specialist
Job Description:

The Enterprise Area of Coverage (EAC) Compliance & Operational Risk (C&OR) Specialist is an individual contributor member of an Enterprise Area of Coverage Compliance and Operational Risk team. This role is responsible for monitoring Bank of America's ownership of securities for the purpose of regulatory shareholder reporting in the Americas jurisdiction including, but not limited to, Large Shareholder Reporting, regulatory ownership limits and Issuer Requests. Failure to comply with reporting requirements can lead to regulatory fines, sanctions and loss of business opportunity. The EAC C&OR Specialist is responsible for providing enterprise-wide oversight of processes, controls, laws, rules, and/or regulations that have enterprise-wide applicability. The EAC C&OR Specialist is also responsible for identifying, escalating and mitigating risks in a timely manner in alignment with the Compliance and Operational Risk Management (CORM) Program, the Global Compliance Enterprise Policy (GC Policy) and the Operational Risk Management - Enterprise Policy (ORM Policy).

The EAC C&OR Specialist is accountable for the requirements in the Global Compliance and Operational Risk Policies, participating and assisting in any of the following activities for their respective area of coverage:

• Conduct daily monitoring of Bank of America's ownership of publicly traded securities for adherence to industry ownership limits and reporting thresholds.
• Prepare and submit Large Shareholder disclosures as required under the U.S. Securities and Exchange Act of 1934 such as Schedule 13D, Schedule 13G and Form 13F
• Update procedures to ensure they reflect appropriate monitoring, reporting and regulatory requirements.
• Engage in the analysis of new rules and regulations impacting equity ownership and reporting thresholds.
• Take an active role in the sourcing and validation of data used for monitoring and reporting.
• Work with technology partners regarding system enhancements.
• Create and maintain a regulatory inventory.
• Create and maintain a global coverage plan.
• Establish, monitor and report on enterprise risk tolerance metric(s) that are translated and connected to relevant business metrics (Key Risk Indicators).
• Create and maintain a regulatory inventory.
• Identify, aggregate, report and escalate compliance and operational risks, issues and control enhancements.
• Assist in the review and analysis of internal and external losses related to their area of coverage for enterprise-wide themes; escalate concerns or loss exposures as appropriate.
• Assist in executing governance and management routines.
• Assist with preparations for regulatory exams and audits.
• Escalate regulatory relations concerns to EAC C&OR Manager or Executive.
The EAC Compliance Specialist reviews team deliverables to support consistent quality of activities, processes and outputs. This role is responsible for monitoring Bank of America's positions for the purpose of regulatory shareholder reporting in all Americas; jurisdictions, including, but not limited to, Large Shareholder Reporting (LSR), Reporting in appropriate jurisdictions, and responses to issuer requests where applicable. In addition, the team is responsible for monitoring firm holdings against regulatory hard limits, e.g., in sensitive industries, for each jurisdiction. Failure to properly report or breaches of regulatory limits can lead to regulatory fines, sanctions, and loss of business opportunity.

Required Skills:
  • 3+ years of regulatory reporting or regulatory filing experience
  • Securities knowledge or experience
  • Good knowledge of Financial Markets, Banking Industry and products.
  • Demonstrate strong verbal and written communication skills.
  • Previous experience of large shareholder reporting or significant exposure to equities products within a similar environment.
  • The ability to work under pressure and within tight deadlines to a consistently high level of accuracy
  • Show initiative and react quickly to changes in priorities with the ability to quickly learn new procedures.
  • Strong technical skills ( i.e. Excel, MS Access and other similar applications) with experience in analyzing, manipulating and reporting from large sets of structured data (e.g. books and records data)
