POSITION SUMMARY:

The legal team at Nuveen provides advice and guidance in support of Nuveens asset management activities.  Nuveen is the asset management subsidiary of the TIAA organization, with approximately $1 trillion in assets under management.  Nuveen, through its business lines, manages investments on a global scale in the equities, fixed income and alternatives space, and Nuveen is primarily responsible for asset management, product development, product management and solutions for the TIAA organization.  Nuveen also leads and supports strategic enterprise-wide projects within the TIAA organization.

The Nuveen legal team is looking to hire an attorney capable of providing legal advice and guidance to its asset management and investment management clients, including TIAA itself.

Expertise is sought primarily to support the Churchill business line in the area of private equity fund investments, equity co-investments, and direct minority equity investments.  Expertise in privately placed fixed income investments, especially mezzanine debt and second-lien issuances, and experience in private investment fund formation and management would be a plus.  Also, experience with publicly issued equity securities and securities and insurance regulation relating to asset and investment management activities would be valuable.

Key Duties and Responsibilities:

  • Reviewing and negotiating definitive transaction documentation for new private equity fund investments and equity co-investments on behalf of investment funds and accounts managed by Churchill Asset Management, including oversight of external counsel.
  • Providing day-to-day coverage and oversight of Churchills existing private equity and equity co-investment portfolio, including the review and negotiation of amendment documentation for existing investments.
  • Supporting, as part of Nuveens Capital Markets Legal team, Churchills and Nuveens strategic initiatives in connection with private equity and related matters.
QUALIFICATIONS: Required:
  • 5+ years of experience with a major law firm and/or an in-house legal department
  • 3+ years of experience with private equity fund investments, equity co-investments, and/or direct minority equity investments.
  • JD degree and member in good standing of a state bar
Preferred:
  • Strong verbal and written communication skills, interpersonal skills and organizational skills.
  • Ability to work independently on projects with minimal supervision.
  • Small level of travel involved
