Operational Due Diligence Associate

Morgan Stanley AlternativeInvestment Partners, L.P. (MS AIP) is Morgan Stanley Investment Managementsalternative investments fund of funds group. MS AIP consists of three units the Fund of Hedge Funds Group, the Private Equity Fund of Funds Group, and theReal Estate Fund of Funds Group. MS AIP is staffed with over 150 employees. Itis based in West Conshohocken, Pennsylvania (a suburb of Philadelphia), withadditional offices in New York, Atlanta, San Francisco, London, and Hong Kong.

The candidate will be responsiblefor researching, analyzing and documenting the operational risk managementprocesses and controls of potential underlying investment advisors.  The individual's role will typically bethe performance and documentation of due diligence.  In addition, this person will be involved invarious risk management support activities such as developing and enhancing thegroups various approaches to assess and monitor operational risks.   The candidate will report to the Head ofOperational Due Diligence.  This positionis located in West Conshohocken, Pennsylvania.  The successful candidatewill play a key role in all phases of the due diligence process.


OperationalDue Diligence:

-Coordinate, prepare for andactively participate in on-site due diligence meetings with senior managementof potential and existing investment advisors and evaluate their processes,policies, procedures and controls.

-Coordinate and review backgroundinvestigations of senior management of potential and existing investmentadvisors.

-Analyze audited financialstatements from underlying funds to identify departures from generally acceptedaccounting principles, qualifications of audit opinions, performance, relatedparty transactions and other unusual attributes.

-Review offering and legal documentsfor underlying funds in search of off-market terms or language.

-Evaluate operational risk atunderlying managers, assess the risks involved and provide recommendations forimprovements to control such risks.

-Actively participate in discussionswith various third-party service providers and administrators regardingunderlying managers operational processes and controls.

-Document the results of the duediligence procedures, including any specific concerns and recommendations.  Prepare reports to be presented to InvestmentCommittee(s) supported by MS AIPs operational due diligence function.

-Make suggestions for continueddevelopment of operational due diligence procedures

Minimum Bachelors degree in finance oraccounting.

-Strong presentation, communication andinterview skills required.

-Minimum two years experience in investmentmanagement industry, preferably with knowledge of hedge fund and/or privateequity operations/controls and understanding of alternative investmentstrategies.

-Ability to apply knowledge and experience to awide variety of alternative investment managers and operating environments toassess operational risks and identify potential concerns.

-Strong understanding of generally acceptedaccounting principles for alternative investment funds and ability to analyzeaudited financial statements for such funds.

-Ability to travel globally on a regular basis(position will require approximately 15-20% travel).

-Demonstrate ability to work effectively andindependently in a team-oriented
