A ROLE YOU WILL LOVE

U.S. is responsible for leading a team focused on growing the firm’s M&A and Activist practice.  The successful candidate will be a seasoned executive who can offer advice to clients and execute on a wide variety of complex situations with confidence and creativity. The individual should possess a deep set of relationships in the corporate issuer, legal, banking and public relations advisory communities with an ability to leverage these relationships to gain market share for Georgeson. 

Primary Accountabilities

  • Pitch and win new business opportunities in the M&A space and other complex proxy situations by articulating the Georgeson value proposition.
  • Develop effective strategies to contribute to Georgeson’s ability to win mandates from existing and new clients for:
  • mergers and acquisitions
  • proxy contests for board seats
  • a broad range of shareholder approval proposals
  • going-private transactions
  • Identify areas for enhancement in Georgeson’s existing product offering and work with others to develop solutions.
  • Execute successful, value-additive campaigns on behalf of Georgeson’s issuer clients.
  • Work with others on the team to develop winning strategies for obtaining maximum favorable shareholder approval for our clients’ aims and objectives.   
  • Develop various strategies for communicating with institutional and retail investors and proxy advisors in a timely, cost-effective manner to articulate client interests.
  • Collaborate with other M&A team members to ensure all aspects of the proxy voting mechanics and operations landscape are effectively understood and managed in the client’s interests.
  • Represent Georgeson in the media, at industry conferences, on panels and other events
  • Offer thoughtful insights on M&A issues
  • Contribute subject-matter

Education and Experience

  • Bachelor’s Degree.
  • Minimum 10-15 years of prior M&A advisory experience.
  • Deep knowledge of applicable proxy solicitation rules, listing requirements and other relevant legal and regulatory issues.
  • Strong operational knowledge of proxy voting processes.
  • Excellent communication and collaboration skills, with the ability to gain the trust and confidence of senior corporate executives, board members, investor relations officers and corporate secretaries. 
  • Able to work effectively with other advisors including lawyers, investment bankers, public relations executives and personnel from other solicitation firms.
  • Proactive, resourceful, adaptable. A self-starter with strong team-working skills.

Travel Required

It is expected that this position may include travel up to 15% of the time.  This is subject to change based on many factors, including business needs.

Language Ability

Ability to read/analyse/interpret business periodicals/ journals/technical procedures/gov. regulations; write reports/ business correspondence/procedure manuals; effectively present information/respond to questions from managers/clients/ customers/public.

Mathematical Ability

Ability to add and subtract two-digit numbers and to multiply and divide with 10's and 100's.  Ability to perform these operations using units of American money and weight measurement, volume, and distance.
