Specific Role Responsibilities

Senior In-House Lawyer based in Boston. This is an exciting opportunity for a senior lawyer to assist FNZ in establishing FNZ’s first presence in the US market.   The role-holder is expected to develop and run all of FNZ’s US legal requirements - initially this will be via FNZ’s newly established joint venture with State Street Bank (“SST”), which has recently acquired SST’s wealth management services (“WMS”) business operating in the Registered Investment Advisory, wealth custody and investment intermediary market. The WMS business will operate through a regulated Trust Company, focusing on providing custody and related services to individuals and other clients in the US. FNZ will also be migrating the WMS business to FNZ’s core technology and platform as a service (“PaaS”) operating model.

The role will include negotiating and reviewing contracts, advising managers and directors on fiduciary duties, adopting applicable policies and procedures, managing regulatory requirements and disclosures (associated with the WMS business) and all other legal matters as required by the business (as referred to more specifically below). 

Experience Required

  • Corporate and regulatory legal experience from a leading US law firm or highly regarded in-house organisation.
  • Ability to multi-task and work effectively in a fast-paced dynamic environment.
  • Focused on providing excellent legal advice and support.
  • Available for occasional travel.
  • Admitted to practice in applicable US jurisdictions
  • Strong transactions experience in the regulated financial services sector in the US.
  • Strong negotiation skills and the ability to influence and provide direction on complex deals.
  • Personal attributes: hard working, high tolerance of ambiguity, resilient, articulate, ability to bring a personality to the job and strategic awareness.
  • Law degree / qualification: {insert applicable US grade level as recommended by recruitment process}.

Specific Role Responsibilities

  • Providing legal support to the business as it establishes itself in the US market and grows
  • Negotiating and drafting client and supplier contracts
  • Overseeing and assisting with the assignment process of any WMS business contracts (arising from the acquisition of the WMS business) and conforming WMS business customer agreements, maintaining terms and conditions, application forms and disclosures, as required.
  • Protecting the FNZ group against legal claims; reviewing and assisting with client complaint response letters
  • Providing support and guidance to managers and the board, as required by the business, and assisting the directors to discharge their fiduciary duties.
  • Advising on applicable US risk and governance matters, the preparation and adoption of applicable policies and procedures; working with FNZ Group compliance and risk function, to ensure policy compliance; assisting with responses to regulatory enquiries
  • Consulting on consumer complaints, applicable US State client privacy events and data disclosures
  • Consulting on RIA conduct matters, trading matters (MF Trading, sweep, securities law, trading gains/losses etc) and maintaining/negotiating intermediary trading agreements
  • Reviewing RFP materials and external communications
  • Monitoring and reporting on legal developments and how they might affect the FNZ group
  • Managing and maintaining a contracts register 
  • Support FNZ Group General Counsel in the development and implementation of Group Internal governance framework and in the evaluation and effectiveness of such framework on an on-going basis
  • Providing general legal support and review of ad hoc requests received from investment intermediaries and/or clients
  • Engaging with applicable FNZ Group co-sec support, as required – for board induction and on-going support / board training
