Description
This role will provide specialized in-house legal support to the Clearinghouse and to the company as a whole in addressing new regulatory developments with a specific emphasis on clearing and clearing members. The attorney who fills this role will interpret and help apply regulatory requirements that relate to clearing: primarily CEA core principles for DCOs and PFMIs, but also requirements from other regulators with jurisdiction, including FSOC/Chicago Fed, CPSS-IOSCO and other applicable authorities.

More specifically, the attorney who fills this role will, among other things, be expected to:
  • monitor new domestic and international regulatory developments that directly or indirectly impact clearing and work with Clearinghouse staff and other personnel to evaluate impacts and develop CME’s responses, including drafting comment letters and working with appropriate industry groups and regulators to promote effective regulatory policies
  • support new initiatives for clearing from a regulatory standpoint, in cooperation with others in Legal as appropriate (for example, the attorney may work on new models or agreements for protection of customer funds, new collateral programs, and clearing services agreements with other exchanges or execution platforms)
  • work with the Clearinghouse to ensure that CME rules (including the Rulebook, Frameworks, Manuals and Clearing Advisories and Financial Regulatory & Surveillance Bulletins) properly apply clearing regulatory requirements, implement best practices for clearing and meet the needs of the Clearinghouse, FRS and CME Group generally. The attorney is also responsible for steering such rule changes through internal corporate, governance and external regulators’ review & approval processes
  • provide counsel to the Clearing House Risk Committee and other governance committees relating to clearing and risk management
  • assist with banking arrangements and agreements supporting the Clearinghouse, such as liquidity facilities, settlement and custody agreements, and special collateral programs and related agreements, including CME’s IEF programs
  • provide legal and regulatory support for deliveries documentation and processes, including letter of credit usage
  • support the updating and maintenance of required legal memoranda provided to third parties
  • provide support for annual Title VIII examinations.

The attorney who fills this role will have the ability to coordinate with internal and external stakeholders who have questions about acceptable practices, regulatory requirements, and foreign access issues, among other things. This attorney will be able to manage and coordinate applications for registered status in foreign jurisdictions, as well as oversee ongoing reporting obligations, to ensure company compliance with all foreign regulatory and legal requirements pertaining to the foregoing initiatives.
