Manager, Agency Services - Syndications
Summary/Objective

Play a leadership role in the development and oversight of SVB's newly initiated Agency Services Team. This role will entail working with constituents across SVB, participant banks and clients to ensure SVB's marquis high profile transactions are well supported and delivered best in class in market.

Manages a portfolio of lead agency syndicated borrowing clients, serving as first point of contact supporting inquiries from clients, SVB team members and participant banks related to client accounts. Agency Services Manager will work as key member of the client-facing relationship team to provide exceptional service on day-to-day lead agency banking needs.

The Agency Services Manager manages a portfolio of SVB lead agency syndicated borrowing clients and is responsible for deepening relationships to increase client satisfaction, and lender integration with participant banks. The Agency Services Manager is considered the "eyes and ears" to SVB's high profile syndicated transactions.

The Agency Services Manager will collaborate with Head of Syndications and Syndication team members to help develop Silicon Valley Bank's Agency Services team and capabilities. This person will have direct management responsibility for Agency Services team members. As a senior manager of the syndications team, this person will provide leadership and drive improvement projects where needed.

Proactive and clear communications are a critical required skill set as this manager gives guidance to Agency Services team members, works with participant banks, partners closely with the SVB's Syndicated Lending team, as well as the bank's relationship management teams.

The Agency Services Manager will be able to leverage their industry and banking and loan systems knowledge in managing the agency services function for a portfolio of syndicated credits, ensure smooth, efficient, and timely inter-bank notices and communications, review, provide feedback on, and help finalize loan documentation and final distribution.

Syndicated Transactions Pre-Close

  • Attend Bank Meetings to meet with lenders and company to play a lead role as face of SVB and develop as a key point of contact.
  • Serve as integral team member in reviewing loan documents at outset of transaction representing bank loan operations and lender interface and providing input on lender communications, closing items, treatment of LCs, Swinglines, Funding and Repayments and notification to lenders
  • Attend Bank Meetings to meet with lenders and company to play a lead role as face of SVB and develop as a key point of contact.
  • Serve as integral team member in reviewing loan documents at outset of transaction representing bank loan operations and lender interface and providing input on lender communications, closing items, treatment of LCs, Swinglines, Funding and Repayments and notification to lenders
  • Act as lead in transaction for deal team in managing "closing checklist" of documentation and information required for 2-week, 1 week and Day of Close for Syndications, Lending Team and Operations team members to follow
  • Engage Middle Office, Outside Agency Services/BNY (when utilized) Or SVB Loan Operations to ensure smooth closing. (Items may include:
    • Send email explaining the transaction
    • Request, review and sign Fee Letter and LSA
    • Distribute draft of Credit Agreement and solicit comments from BNY
  • Create funding diagram as needed to communicate funding
  • Schedule and host "all-hands" call to walk team through the closing and funding process
  • Gather and check documentation from participants (admin details, W-9, etc.)
  • Create admin details forms for SVB - one to be sent to Agency Services and one for participants and check all information
  • If deal is pre-existing and has letters of credit, manage the accurate collection of L/C's for inclusion in the loan agreement
  • Review funds flow/disbursement memo to ensure no wire, funding errors exist, confirm amounts


Syndicated Transactions Close

  • Manage all internal components of closing and funding
  • Serve as primary liaison between SVB, participant lenders, and SVB internal systems (Middle office and Loan operations) during funding)


Syndicated Transactions Post-Close

  • Manage collection, confirmation and posting of all reporting requirements (Weekly, Monthly and Quarterly)
  • Compile quarterly L/C fee calculations with BNY Mellon
  • Manage timely distribution and approval of all waivers, amendments and lender consent items
  • Ensure consistent, accurate interest fee calculations and payments


Ongoing Agency Manager and Leader in Agency Platform Development

  • Serve as face of SVB in communications with lenders on waivers and covenant changes, and other adjustment to ongoing loan
  • Provide excellence in service to the participant lender community (Goldman, USBank, Comerica, Fortress


Manager

  • Manage initial team of 1 -2 at outset.
  • Help drive innovation and excellence in Loan Agency Service


Recommendations

  • Makes recommendations to improve processes including identifying solutions.
  • Plays a critical role in the development of Agency Service function.


Qualifications


Knowledge

  • Extensive knowledge of commercial bank banking platform. Familiarity with general banking procedures and regulatory requirements including KYC.
  • Knowledge of On-Boarding practices; familiarity with standard procedures including document collection, expectation setting, training


Skills

  • Demonstrated ability to develop and maintain trusted relationships with clients across all levels (from CFOs to to Accounting Clerk)
  • Excellent organizational skills; ability to actively manage a high volume and range of disparate daily activities
  • Strong oral and written communication skills; ability to convey complex concepts in a clear and concise manner
  • Proven client service experience including interpreting client inquires and use of systems and tools to log and monitor cases

Education and Experience


  • High School Diploma, bachelor's degree a large plus.

  • 4-6 years of related professional experience (banking/financial services industry or customer service) OR

  • 7-9 years of overall experience

  • Bachelor's Degree desired and may be considered as 2-3 years overall experience

  • Demonstrated client relationship building experience and/or client support in financial services and/or products, preferred.


Travel

Occasional travel may be required for Bank Meetings, to meet with Clients, and Lenders.
