Key responsibilities, Knowledge and Experience
• Investment management/buy side experience preferable
o IMA negotiation – pension funds, insurance entities, global institutional investors
o Custody agreements
o Investment advisory agreements
o Template management and updating e.g. risk warnings
o Knowledge of US management and fund environment advantage
• Derivatives
o ISDAs/CSAs/GMRAs – counterparty management and negotiation, amendment agreements, protocol adherence. UK pension fund, LGPS and UCITS specific terms.
o Global documentation initiatives e.g. WGMR VM rules, bank ring-fencing
o OTC clearing documentation
o Listed derivatives documentation
o Onboarding document management/advice (e.g. W-8ben, CRS, cross border swaps representations)
• Regulatory advisory - knowledge of regulatory environment and rules applicable to investment managers and necessary compliance (both segregated accounts and funds), including:
o FCA rules and consultations e.g. AMMS, CMA consulting reference, SYSC, KYC and client categorisation, MAR
o Client literature, advice and briefing notes review
o EMIR, SFTR
o Mifid II
o Benchmarks regulations
o UCITS
o AIFMD
• Pensions
o Working knowledge of legal structure, law and regulation relating to DB and DC registered pension schemes and investment permissions/restrictions
• Funds
o Working knowledge of common structures including UCITS (UK, Luxembourg and Irish) and investment restrictions/permissions
o Distribution agreements, cross border marketing issues, passporting requirements and local jurisdiction registration
o Advising on new fund launches
• Legal team management
o Management of juniors including paralegal, trainee solicitors
o Process and procedure implementation, knowledge sharing and training
• Experience 3-8 years post qualified experience, some in-house experience preferable
