Goodman Masson are supporting one of Europe's leading asset servicing providers in the hire for a Paralegal on a 6 Month Contract initially. This role requires working closely with the Head of Legal as well as Head of Risk and Compliance.

Responsibilities:

Creation and sign off by Group Legal of securities services templates for: custody, depositary, fund administration and pension administration services and new products such as ESG, AOV ("Securities Services Templates")
Review of Group General Terms and Conditions and General Pricing Terms against Securities Services Templates
Review Account Opening Form. Template needs to be updated and be fit for Depositary and Custody
Creation and sign off of intra-group agreements required for the Securities Services Templates
Helping to create contract gap analysis report to be presented by Head of Legal to Group Legal re: Securities Services Templates.
Review of new licences or other services with third party providers
Contract management for a significant client of UK Branch. Involves the creation of an agreed form custody agreement, interaction with client, agreeing final form and arranging signature
Assisting legal counsel with sending out various client templates to new clients and help managing the relationship between Legal and other stakeholders to obtain instructions and sign off on final form agreements
Assisting with Depositary Application and UK Branch application
Help create amendment agreements and termination letters, which will be circulated to the commercial leads Managing the process to track progress
Assisting Head of Legal with the implementation of DocuSign at the new electronic signature tool
Reviewing and updating the ex-KAS client files. The existing documents need checking, updating and templates added. Files need to be saved locally in the correct folders and added to BCT so need to liaise with Lux team
Preparing separate policies for the new UK depositary subsidiary
Reviewing and assisting Head of Compliance/Risk with the rule mapping for both the UK branch and the new UK depositary entity
Assisting with the corporate transfer of assets from the UK Branch to the new Depositary entity, including drafting and negotiation of novation agreements, entering into of new licences, assisting with the asset transfer agreement and ancillary documentation
Assisting Head of Legal to create policies, procedures and templates for legal department
Assisting Head of Legal with company secretarial matters, such as Companies House filings, updates to statutory books and updates to authorised signatory lists

Desired skills:

Educated to degree level
Paralegal / NQ
Outsourcing / Contract negotiation experience
Securities Services experience
Knowledge of PRA and FCA Rule
A track record of working to tight timelines and meeting strict deadline
Working within a small team
Ability to work autonomously
