The Business Entity Manager is an extension of the front office business and is responsible for managing the legal entity population for a portfolio of c.130 legal entities. They are accountable for the corporate actions of the legal entities and form part of the business decision making team. The Business Entity Manager is a BCS liaison and LERC representative.

Overall purpose of role

The Business Entity Manager is an extension of the front office business and is responsible for managing the legal entity population for a portfolio of c.130 legal entities. They are accountable for the corporate actions of the legal entities and form part of the business decision making team. The Business Entity Manager is a BCS liaison and LERC representative.

Managing a control environment which acts to support Accountable Executives in ensuring adherence to Barclays' policies and compliance with the applicable, global regulations.

Responsibility also for ensuring that group wide data repository systems (Blueprint, SDS) accurately reflect the legal entity data and that Barclays Corporate Secretariat are provided with the necessary support and information I to ensure that services can be carried out in accordance with legal requirements and regulations.

Proactively lead on legal entity related strategic projects which impact the STG and BI Luxembourg (Treasury) businesses and manage the day to day operational processes and ad hoc enquiries in a largely autonomous way.

The role forms part of the broader legal entity and transaction management teams which support structured transactions across the Barclays Luxembourg, STG US and STG UK businesses.

Key Accountabilities

  • Ensuring legal entities comply with the LERC requirements and standards, and any breaches are escalated appropriately.
  • Management of share registers for all entities and coordinator for all legal entity specific regulations (FATCA, EMIR, Dodd Frank etc) and Barclays policies.
  • Provide active support to business teams and enable the timely & controlled execution of new transactions, and ensure that post execution governance is complete and accurate.
  • Lead the analysis and identification of entities eligible for liquidation and management of the process of legal entity liquidation/dissolution.
  • Preparation of management information for the Head of BI Luxembourg (Treasury) and Head of STG.
  • Manage the director population for all STG/BI Luxembourg entities and ensure that they meet the requirements set out in the entity's constitutional documents and Barclays policies.
  • Organise board meetings and coordinate the provision of suitable documentation and briefings for directors as required. Follow up to ensure accurate minutes are retained and all documentations is appropriately executed.
  • Responsible for reporting and forecasting business capital and retained earnings to Treasury.
  • Managing the relationship with and services provided by external company service providers to ensure external registers are updated (for all entities that are incorporated outside the UK they will have an external provider).
  • Overseeing statutory accounts process (although not producing the accounts) and responsible for ensuring all deadlines are met within the relevant, agreed LERC dispensations
  • Pro-active review of entity positions to ensure compliance with dividend and retained earnings repatriation policies, management of all distributions from sub groups to BBPLC.
  • Business lead on SDS "Golden Record" and associated SPE DB decommission projects.

Risk and Control Objective

Ensure that all activities and duties are carried out in full compliance with regulatory requirements, Enterprise Wide Risk Management Framework and internal Barclays Policies and Policy Standards.

Own and drive continuous assessment and improvement of the legal entity control framework to ensure it is fit for purpose in the context of BI Luxembourg and STG activities.

Person Specification

  • Experience of legal entity management, including those used in structured transactions
  • Proven ability to understand complex transactions and have the ability to explain them clearly to stake holders
  • Ability to lead and run productive meetings, including where the candidate is not the technical subject, matter expert
  • Excellent written and verbal communication skills

Essential Skills/Basic Qualifications:

  • Relevant professional qualification - legal degree or Chartered Secretaries Qualifying Scheme (CSQS) or accounting qualification
  • Strong understanding of accounting policies and capital structures
  • Knowledge of relevant Barclays sub-ledger, ledger and static data platforms
  • Prior use of Blueprint and/or SDS

Desirable skills/Preferred Qualifications:

  • Strong people management skills, with experience of managing senior stakeholders
  • Good level of excel and data analytic tools
