This Head of Structuring is responsible for building the structuring function within a unique and growing business that provide specialist lending / financing solutions exclusively on the Sports, Music & Entertainment sectors. You will have strengths around legal, tax regimes in different jurisdictions, accounting, regulation, credit, lending / securitisation, along with very well developed communication, analytical and influencing skills!

The Opportunity:

  • The role offers broad areas of responsibility, reflecting the bandwidth of the role which can touch on many of the areas of the wider business. You will have the opportunity to work with and influence key internal stakeholders including the C-suite and founders
  • Specific responsibilities will include undertaking structuring work as and when required by the business with both upstream lenders, and, downstream borrowers, liaising with external counterparties, advisers and regulators
  • Developing and executing counterparty and internal transactions across a range of asset classes to achieve certain cash, accounting, tax and regulatory objectives
  • Negotiating documentation to ensure correct allocation of risks and pricing, satisfaction of necessary structural mechanics and assessing financial impact of each transaction
  • Managing the internal approval and governance process by consulting, influencing and apprising key stakeholders of the relevant risk/reward considerations, preparing and presenting transaction approval documents and briefings
  • Determining most efficient execution and booking methodology for bespoke arrangements together with on-going maintenance and monitoring
  • Assist the origination team in risk and opportunity identification as well as determination of appropriate structure for transactions originated in the UK, EU and US
  • Help the Credit Portfolio Management / Credit Analyst desk execute deals more efficiently and safely with timely recognition of issues in legal, tax, regulatory and accounting areas to ensure issues are raised and considered by subject matter experts in-house or externally, as well as contribute to credit discussions with respect to structural strengths and weaknesses
  • Help the Legal & Business Affairs team build expertise and understanding within the business with respect to legal risk and identification of regulatory concerns
  • Provide analytic support and expertise when new deals and opportunities are being considered
  • Assist Risk & Compliance in understanding the regulatory compliance environment in each jurisdiction in which my clients' business seeks to operate

Your Experience:

  • My client it not being too prescriptive about skills / background as this role will require a range of experience that may well have been acquired across a variety of different roles
  • You may well be a qualified Lawyer, or Accountant, although it is unlikely that you will operating in such a narrow field. Ideally you will have experience across a wide range of banking legal issues, documentation drafting, review and negotiation, combined with Tax accounting knowledge to ensure commercial objectives are attained and operational requirements respected
  • Lending - you must have some demonstrable knowledge of lending, and, potentially loan securitization
  • Structuring - Knowledge of, and experience with, a wide range of financial instruments, corporate structures and jurisdictions combined with technical accounting (including Tax), regulatory and legal expertise enables efficient and effective structuring of transactions
  • Execution - Experience executing highly demanding transactions under significant time pressures including managing deal teams, coordinating advisers and presenting proposals to senior colleagues, clients and regulatory bodies
  • Detailed analysis and understanding of risks and mitigating factors ensuring that risks are fully considered and communicated while opportunities are not overlooked
  • Research & Development - Apply expertise to identify opportunities which can be executed in real world transactions
