Global Corporate Entity Manager - Offshore Wind
Join a rapidly growing global offshore wind business as a Corporate Entity Manager in our Green Investment Group.

Our Green Investment Group's global offshore wind business is responsible for the successful management and delivery of a pipeline of 15+ GW of offshore wind projects, the origination of new opportunities and partnerships as well as the provision of asset management and advisory services to third party investors.

You will be an experienced entity manager (Chartered Governance Qualifying Programme (CGQP) qualified or a solicitor) who is passionate about what you do and will bring energy and enthusiasm to this hands-on role.

Based in London, you will work in a global role with responsibility for the company secretarial aspects of a number of entities, including instructing and overseeing outsourced service providers for entities incorporated outside the UK. You will report to the General Counsel of our offshore wind business and liaise regularly with senior management and board members.

This role will see you manage company secretarial activities for UK entities, whilst overseeing outsourced service providers for our large overseas portfolio, which covers multiple jurisdictions globally. Day to day, you will also manage and oversee the company secretarial aspects of commercial transactions. The scope of the role will largely be focused on:
  • Running regular board/committee meeting process for key UK-incorporated entities
  • Attending board and committee meetings of legal entities within the corporate structure, taking minutes and coordination of follow up actions
  • Drafting ad-hoc resolutions for corporate changes (including for transactions and reorganisations)
  • Coordinating the necessary approvals and paperwork for funding draw-downs
  • Liaise regularly with senior management and board members, as well as outside service providers from several overseas jurisdictions
  • Lodging required documentation with Companies House, including annual confirmation statements and accounts
  • Delivering director duties training
  • Overseeing compliance with statutory deadlines applicable to entities within the group structure
  • Improving the efficiency of internal processes and ensure accurate record keeping, including the maintenance of statutory books, including registers of members, directors and secretaries
  • Liaising with Macquarie's EMEA Governance team and other representatives from Macquarie in respect of matters requiring their consent
  • Contributing to meeting discussions, and when required advise members of the legal, accounting and tax departments of the implications of proposed legal entity related policies, in relation to company secretarial practice, corporate governance, UK company law and internal policies
  • Monitoring changes in relevant legislation and the regulatory environment and recommend appropriate action

To be successful in this role you will have a relevant qualification relating to corporate law and/or governance as well as strong experience in drafting corporate governance documentation, coordinating filings and ensuring entities comply with statutory compliance requirements. You will come with deep knowledge and practical application of company law, company secretarial/corporate governance knowledge and corporate administration experience gained in a fast-paced environment. Additionally, you will also possess strong communication and relationship building skills, ability to work under pressure, resilience and adaptability.
