Assistant Company Secretary

Key Responsibilities

Legal Entity Support

  • Act as company secretary for various real estate legal entities, such as general partners and stand-alone investments subsidiaries.
  • Arrange board meetings; produce board packs and minutes to a high standard, and draft ad hoc transaction related board resolutions.
  • Act as 'shadow' company secretary for various offshore entities where UK company secretarial support is required for local drafting and execution.
  • Maintain records of all real estate investment subsidiaries and associated property assets, in the UK, EU, US and Asia.
  • Initiate regular reviews of dormant companies and work with internal and external parties to facilitate solvent liquidations.

Director Support

  • Maintain full records of staff directorships and associated property assets and manage the process for directorship reviews, appointments and resignations.

Document Execution

  • Take an active role in a busy document execution function, providing emergency cover for sealing administration where required. Facilitate and advise on document execution in the UK and offshore.
  • Maintain key documentation relating to delegated client signing authorities/sealing officers and act as a primary sealing officer executing transactional documents on a daily basis.

Support to Head of Legal

  • Establish and maintain timetable in conjunction with retained lawyers to ensure that significant litigation and non-procedural litigation reports are received each quarter.
  • Draft quarterly Legal Risk Report to M&G Ltd, on behalf of Head of Legal.

This includes responsibilities relating to your own H&S and others affected by your actions. Any concerns relating to H&S risks must be escalated to your line Manager and the Company's H&S Manager.
