  • 6 to 10 years of legal experience in a common law jurisdiction, ideally with min 2 to 3 years of in-house experience;
  • Experience supporting a diverse portfolio of Asia regional emerging markets/ countries in South Asia and SEA.
  • Experience in infrastructure focused private equity, infrastructure development or infrastructure financing is required

Our client is an established investment management firm which invests in  infrastructure projects across the region. It takes an equity stake with a focus on socially responsible and commercially viable infrastructure projects that contribute to economic growth, social development and poverty reduction.

 

Reporting to the Director, General Counsel, you will provide legal, compliance and risk management support to both the internal Management Team and its contracted Developer Teams. Specific areas of focus will include general corporate and shareholder matters, project development and financing aspects, co-investments and divestments, developer services and compliance & risk management.

 

We are looking for a cand interested in developing/ financing impactful infrastructure projects in developing countries around the region. This role will entail work in reviewing, commenting and drafting critical legal documents; including funding and shareholder agreements, finance agreements, lease agreements, MOU, JDA, RFP, NDA, POA, services, works and general consultancy agreements.

 

Specific activities will include providing legal advice alongside internal business functions, managing external legal counsel (local and overseas); managing company secretariat matters as required; closely monitoring compliance and risk management programs for developers, co-developers and the firm with a special focus on obligations under developer services agreements or in respect to joint ventures; and managing risk and compliance audits, reviews and monitoring.

 

RESPONSIBILITIES

Corporate and Shareholder Governance Matters

  • (a) Reporting – Contribute to reporting for legal and compliance related matters pertaining to the co and projects/investments;
  • (b) Board Resolutions – Support in review, drafting and oversight of corporate resolutions of group cos and SPVs, including with respect to their respective board meetings and in relation to shareholder/stakeholder management or approval matters;
  • (c) Legal Advice – Advise on ad hoc company, developer and project company related legal queries and issues, such as governance issues, funding agreements, investment agreements and shareholder agreements, lease agreements; give input and advise on legal and commercial risks for Company and its projects /investments; assist to project manage and drive aspects and transactions forward to conclusion.
  • (d) Policies & Procedures – Support in drafting and development of internal operating policies and procedures.

 

Project Development, Co-investment and Divestments

  • Project Negotiations – Support negotiation of investment and project/investment related documents; review and comment on project proposals; participate in meetings with project partners, potential purchasers of projects, executive committee on proposals, projects and investments;
  • Legal Advice – Provide comments and insights on project /investment /divestment  proposals and matters, and ongoing matters in relation to projects/Investments/divestments in process; review/comment/ negotiate on project documents including MOUs, JDAs, JIDA’s technical project agreements, shareholder’s agreements, share purchase agreements, etc.; provide ad hoc legal and compliance advice in respect of the firm’s investment or proposed investment in a project;
  •  Divestment Review – Review/negotiate divestment documents including teasers, RFP’s, process letters, and other related project divestment documents including Shareholder and subscription agreements
  •  Due Diligence – Support legal due diligence processes in relation to cross border Co- Development and Co-Investments, including background checks (in particular) on Co- Investment opportunities;
  • Transaction Support – Manage the documentation requirements and execution process for completion of transactions and business needs, as required.

 

Developer Relations

  • Legal Review & Insights – Liaise with developer teams in relation to legal aspects of projects; participate in meetings with developer teams. Review draft project agreements from a legal perspective; provide comments and insights on project proposals and ongoing projects, investments, divestments in process; oversee drafting and negotiating any amendments to developer services agreements, option agreements, or other performance-related agreements;
  •  Compliance & Risk – Support compliance and risk management training to outsourced developer teams; oversee the monitoring of developers from a compliance and  risk management perspective.

 

Compliance & Risk Management

  • Compliance and Risk Management Program – Apply an active ethical and corporate compliance mindset to assess for good corporate authorisations, due process and record keeping. Actively contribute, provide initiatives, continual improvement implementation and participate in the compliance and risk management program for the firm and its developers to ensure that the group follows an appropriate level of best practices in respect of corporate governance; including KYC reporting and related processes. Clear appreciation of the firm’s compliance requirements, including in relation to the US-FCPA and the UK Anti-Bribery Act, identify and document risks and recommend risk mitigation measures at an early stage;
  • Monitoring & Reporting – Contribute to the development and implementation of strategies, systems, processes and procedures for effective and reliable project reporting and compliance reporting;
  • Company Secretarial Support – Supervise and assist with the management of company secretarial matters (with company secretaries) for the firm and its investment companies as may be required.

 

Qualifications & Experience

  • A J.D. or equivalent law degree with 6 to 10 years of relevant legal and compliance experience in a common law jurisdiction, ideally with min 2 to 3 years of in-house experience;
  • Experience working in/ supporting a diverse portfolio of Asia regional emerging markets/ countries in  South Asia (India, Pakistan, Bangladesh, Nepal etc) and SEA (Philippines, Indonesia, Vietnam, Cambodia, Myanmar etc)
  • Experience in infrastructure focused private equity, infrastructure development or infrastructure financing is required
  • Buys into the social mission of the co (to alleviate the poverty level in the countries it invests in).
  • Commercially focused.
  • Familiarity and practical experience with compliance and/or internal investigations in a multi- national company or other segregated, matrix and complex organizations;
  • High energy, takes ownership of tasks and thrives on working in an environment with ambiguity and uncertainty;
  • Possess direct and hands-on negotiation skills, and apply them on Shareholders Agreements, Joint-Ventures, Sales and Purchase Agreements, project development concessions, PPAs, project finance documents, construction related contracts, etc.;
  • Ability to apply sound, principled, and consistent judgement in a diverse and challenging legal and business environment;
  • Focus on legal, compliance and commercial risks proactively vs reacting to situations;
  • Experience in establishing policies and protocols from the ground-up;
  • Strong work ethics and able to work in a dynamic, fast-paced and demanding environment essential.
  • A self starter who can hit the ground and run. Operate very independently. Open minded to learn from others when required.
  • Experience of taking challenges outside of one’s comfort zone will be useful
