The Legal Counsel will be an integralmember of the APAC Legal team. TheLegal Counsel will report to the Director Legal - APAC and will be responsible forreviewing, drafting and negotiating various contracts in ASEAN, includingwithout limitation, MSAs, consulting agreements, non-disclosure agreements,RFP/RFI/RFQs and amendments for contracts within ASEAN and will be required toindependently drive contract lifecycle from drafting through to completion,including negotiation. In addition, the AD-Legal will be responsible to addressday-to-day legal queries in ASEAN. As amember of the broader Asia Pacific Legal team, the Legal Counsel will work closelywith specialist lawyers from across the region in a collaborative manner tosupport the delivery of legal services to Cognizant's operations in ASEAN. From time to time, the Legal Counsel will berequired to assist in the development of the ASEAN Business' response to newlegislative regimes and manage external counsel.
Duties and Responsibilities:
As part of the legal team, the Legal Counsel will be responsiblein providing legal services to the ASEAN business in a timely, accurate andstrategic manner. The ability tonegotiate, draft and interpret complex liability regimes, intellectual propertyclauses, as well as data protection, privacy and GDPR are all criticalresponsibilities of the role. The Legal Counsel will be required to guide business stakeholders on escalation processes, and manage the review of complex agreements. The AD-Legal may, from time to time be required to provide generalist legal support and advice on human resources and leasing related matters in accordance with the local legal practices.
Excellent analytical, negotiation and contract draftingskills in variety of technology transactions.
Strong working knowledge of international commercialcontract law and corporate laws.
Strong commercial acumen, robust time and management skills,excellent communication and interpersonal skills and ability to multitask.
Experience in providing support to pre-sales and salesstakeholders.
Experience working with clients across the insurance,banking and financial services, manufacturing, energy and utilities, healthcareor government will be highlight regarded.
An established ability analyze problems, and makerecommendations base on logical technical knowledge and judgment.
Evidenced project management skills, accountability fordelivery and provide legal services in a proactive manner.
Commercial acumen with the ability to interact and work withmultiple senior stakeholder, both locally and globally.
Qualifications and Experience
At least 10-12 years post qualification experience (PQE),gained at a reputable law firm, and/or in-house in a multi-nationalorganization.
A professional legal background in either InformationTechnology, Intellectual Property, Procurement Contracting or CorporateAdvisory.
Bachelor of Laws or Juris Doctor and Practicing Certificatevalid in Singapore.
