Head, Legal, Business Technology

JOB PURPOSE
  • Technology and outsourcing (transactions and advisory): Lead, oversee and provide legal support and advice to all stakeholders across the Group for material, multi-country technology and outsourcing projects with a particular focus on business technology projects, including system implementations, core banking platforms, client portals, e-commerce/e-signatures, business process outsourcing and business technology innovation, cyber security, and OCIR. Build a strong focus/alignment to ITO (particularly Client Business CIOs) and Group functions' leadership teams and engage with and support such stakeholders.
  • Innovation: Lead, oversee and provide legal support and advice for the Group's transformation and innovation agenda, including the Group's incubator hubs, Fintech engagements and collaboration, electronic contracting, and digitisation/automation initiatives from back to front office.
  • Leadership and collaboration: Work jointly with the Head Legal - Technology Services & Operations to provide appropriate legal support for Group functions technology and outsourcing legal matters. Manage Group Legal Counsel(s) aligned to technology as required. Ensure fungible, efficient and effective deployment of legal resources. Lead, oversee and provide legal support and advice for other commercial matters (including corporate, M&A, IP, branding and supply chain) supported by the Corporate and M&A Legal team and broader legal teams as required.
  • Culture and conduct: Promote a culture and practice of good conduct of business and adherence to legal standards within the Group.


JOB RESPONSIBILITIES
  • Lead, oversee and provide proactive strategic legal advice and support on key technology legal issues with a particular focus on Client Business technology, technology innovation/Fintech and cyber, and legal matters relating to business technology & processes and Group functions' technology operations. Engage, build and maintain relationships with relevant stakeholders.
  • Work with the Compliance function and Regional and Country legal and compliance teams, to ensure that commercial and technology projects and initiatives have the necessary legal and regulatory clearance.
  • Liaise with business teams, with other functions and with Legal and Compliance teams to ensure that commercial and technology projects and initiatives are consistent with the Group's standards.
  • Provide supervision, oversight and support for lawyers working on business technology & processes legal matters, including material technology and outsourcing contracts. Ensure that technology and commercial lawyers perform duties objectively, to support sustainable business growth and address legal and compliance risks.
  • Lead, oversee and provide legal support and advice for ongoing vendor and contract management issues including management of pre-litigation contract disputes and for specialist technology legal advisory support to country, business and product legal teams and for other commercial matters (including technology, IP, branding and supply chain) supported by the Corporate and M&A Legal team and broader legal teams as required. Manage Group Legal Counsel aligned to technology as required
  • Provide relevant stakeholders with accurate and timely information regarding the status of Corporate and M&A matters. Drive best practices and lessons learned across the network and create and provide training on legal issues in the sourcing and technology area to legal teams, ITO teams and Group functions including supply chain management
  • Anticipating, identifying, mitigating, monitoring and reporting legal risks in relation to material, multi-country technology and commercial projects and initiatives as required by Group's risk management framework
  • Improving reporting and risk management in relation to corporate projects and initiatives by: (i) assessing the need for and providing legal training to business units of the bank and the Legal and Compliance network; and (ii) developing and improving know-how, standard forms, precedents, policies, procedures and processes. Represent Legal in governance of Technology Services & Operations issues including ensuring that any papers being tabled at the relevant governance committee have been reviewed and clearly articulate legal risk issues and mitigants and approved as appropriate
  • Ensure close coordination with other Legal function teams. Where external counsel is appointed, liaise with external counsel and ensure the scope of work is defined and appropriate, oversee the quality of work and manage external legal costs and ensure appropriate overall matter management


KNOWLEDGE / SKILLS / EXPERIENCE

Must be a qualified lawyer (solicitor, attorney or barrister) with 7+ years' post qualification experience and have:
* A detailed knowledge and understanding of technology and commercial legal matters, including in IT, IP, e-commerce, data privacy and outsourcing.
* Substantial experience in banking industry and business acumen.
* Significant international (preferably emerging markets) experience of structuring and executing a wide variety of technology related matters.
* Understanding of risk management techniques.
* Exemplary integrity, ethics, independence and resilience.
* Personal authority with proven ability to establish relationships and provide strong direction at senior levels of the Group.
