The Company Secretarial function leads, develops and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.

We are currently seeking a high caliber professional to join our team as Senior Assistant Company Secretary.

Principal responsibilities

  • ​To provide advice, guidance and support to the Board of Directors and senior management on corporate governance and statutory and regulatory requirements as well as best practice requirements and standards.
  • To manage and lead a team to ensure The Hongkong and Shanghai Banking Corporation Limited ("HBAP") complies with all applicable company law and corporate regulatory and filing requirements.
  • Review and draft advice and guidance to senior management as required on changes in legislation, regulation and best practice.
  • Ensure the provision of timely and reliable advice to the HBAP Directors on their collective and individual responsibilities and assistance with the discharge of their statutory and regulatory obligations
  • Support the Deputy Corporation Secretary in performance of his/her responsibilities in relation to HBAP and within the Asia Pacific Region
  • Build networks and relationships within the Group head office and within the Region with the key stakeholders of the Company Secretary function.
  • Ensure that members of the company secretarial staff reporting to the job holder are appropriately advised of material corporate governance matters.
  • Lead and manage a team in the HBAP Hong Kong company secretarial office and contribute to employee professional development and performance targets.
  • Support the Deputy Corporation Secretary to drive/ cascade functional strategy and operational goals, contributing to employee professional development and performance targets.
  • Responsible for initiatives that result in the sharing of company secretarial/ governance knowledge and best practice.
  • Maintain and develop positive and professional working relationships with senior management within the business.
  • Advising the Deputy Corporation Secretary with hands on experience in order to re-engineer existing processes to deliver efficiencies within the function.
  • Handle complex issues and provide advice based on independent research with guidance from the Deputy Corporation Secretary as appropriate
  • Develop policy and procedures that comply with Group policies and reduce operational risk, ensuring best practice is embedded into the function.
  • Ensure the early reporting/escalation of company secretarial/ corporate governance issues and risks.
  • Ensure documentation and updating of key routines/ corporate actions, timetables, Standard Practice Instructions and schedules of regulatory references

  • Degree holder, qualified company secretary or lawyer
  • Well versed with corporate and securities laws and regulations and their practices in Hong Kong.
  • Leadership, management and communication and inter-personal skills.
  • Lateral thinking/problem solving/creativity.
  • The role holder is likely to be a graduate with a professional qualification or equivalent experience, generally having extensive relevant experience and possessing very broad knowledge in their specialist area.
