A leading Chinese investment bank in Hong Kong, backed by a major Chinese banking group, is seeking a Legal Counsel / Legal Manager to join its Legal & Compliance team. This is a hands-on transactional role with a primary focus on IPO and equity capital markets work.
The successful candidate will report to the Head of Legal and Compliance and work closely with the Investment Banking Division on IPO transactions, providing practical legal support throughout the deal process. The role also involves supporting IPO-related compliance matters as needed.
Key Responsibilities- Provide transactional legal support on IPO and equity capital markets transactions, including review and drafting of key documents (prospectus, underwriting agreements, engagement letters, due diligence questionnaires, etc.).
- Advise the Investment Banking Division on legal and regulatory aspects of IPO transactions under the Hong Kong Listing Rules, SFC codes and related requirements.
- Support due diligence processes and assist in addressing legal issues arising during IPO execution.
- Review and comment on transaction documents, marketing materials and regulatory filings related to IPOs.
- Provide legal input on sponsor-related obligations and assist the business in meeting relevant regulatory requirements.
- Support IPO-related compliance matters, including Chinese Wall, conflict checks and related internal procedures, as required.
- Liaise with external counsel, regulators and other stakeholders on transaction-related legal issues.
- Assist in maintaining and updating internal legal templates, checklists and guidance notes relevant to IPO work.
- Contribute to other legal and compliance matters within the team as needed, while prioritising IPO transactional support.
- 3–5 years of relevant experience.
- Must have hands-on transactional legal experience on IPOs, gained either in a law firm or in-house at a financial institution / investment bank.
- Qualified in Hong Kong, Mainland China, or any other common law or relevant jurisdiction.
- Solid understanding of IPO processes, Listing Rules and related regulatory requirements is highly advantageous.
- Strong attention to detail, commercial awareness and the ability to provide clear, practical legal advice under time pressure.
- Ability to work effectively with front-office teams, external counsel and other stakeholders.
- Fluent in Mandarin (both written and spoken).
