Business Overview:
Citi's Capital Markets Origination division is comprised of over 20 different groups, many of which are hybrids between Investment Banking and Sales & Trading. This unique mix of groups drives the fixed income and equities markets by providing products and liquidity for our clients.
The Issuer Services business delivers bespoke capital market transaction services to a wide variety of clients including banks, corporations, lawyers and governments around the world. Specific transaction services are delivered in connection with Corporate Debt, Restructuring, Structured Finance, M&A, Project Finance and Depositary Receipts transactions.
Key Responsibilities:
Head of Asia Transaction Management role for Issuer Services - Agency and Trust business.The head of transaction management for the Agency & Trust business will have responsibility for managing a team of transaction managers, ensuring seamless execution of a wide variety of capital markets transactions and upholding high levels of client service from the transaction management team. Primary responsibilities include:
  • Day to day oversight of the transaction management team
  • Work alongside sales and product team to identify network gaps, develop capability and facilitate successful implementation of new transactions
  • Allocating new transactions to transaction managers, ensuring a fair allocation and leveraging individual transaction managers skill sets
  • Act as an escalation point for transaction management related matters
  • Actively participate and fully contribute to A&T's deal review process, including a thorough review of each in scope transaction and facilitating deal approvals
  • Control of agreement templates and checklists working closely with in-house legal and ensuring key templates remain current
  • Develop and maintain relationships with key external law firms and arrangers, ensuring key law firm partners are kept informed of key issues and A&T requirements at all times
  • Oversee post-closing function with supervision of post-closing transaction managers and ensuring full understanding of critical post-closing matters
  • Chair the fiduciary oversight committee with responsibility for key fiduciary markets including Hong Kong, Singapore, Thailand, Bangladesh. Ensure appropriate governance and compliance with Citi fiduciary policy
  • Prepare for Global fiduciary meeting and present Asia scorecard for the relevant period.
  • Oversee and approve Annual Fiduciary Reviews as a key control around fiduciary transactions.Track and remediate outstanding items on a timely basis and ensuring backlogs are fully remediated
  • Overseeing process and controls around receipt of compliance certificates ad financial statements with a view to minimizing aged items and ensuring escalation in accordance with oversight policy
  • Participate in approval of Trustee Information Requests
  • Act as a back up to business head as and when needed
  • Risk & Control : Provide oversight and reporting of KPI's, participate and fully contribute to risk meetings and implement new processes and controls as may be necessary
  • Act as a liaison with Operations teams and act as an escalation point for operations where matters need to be raised to the front office.
  • Work with global peers to promote best practices and strive for global consistency across all aspects of the role
  • Work with regional business head to ensure appropriate resourcing and manage new hiring as needed
  • Extensive transaction management experience with a strong emphasis on capital markets structures
  • Extensive experience in corporate trust environment and / or knowledge of capital markets structures and documentation
  • Proven track record managing a high performance execution team
  • Experience of handling and compliance with fiduciary related matters
  • Ability to manage a team of transaction managers and demonstrate leadership skills
  • Strong written and verbal communication skills
  • Ability to understand complex Capital Markets deal structures and build creative solutions for clients
  • Ability to build internal and external client networks
  • Team player with ability to build consensus
  • Client centric, commercially oriented approach
Educated to degree level or equivalent
