The company is a global investment bank and they are looking for an experienced Corporate Secretary with governance experience to join their APAC Corporate Secretarial team to assist with the corporate secretarial housekeeping matters in respect of the banking group entities in Asia Pacific.

Responsibilities:

  • Carry out a full spectrum of corporate secretarial and administrative support duties
  • Coordinate directors/shareholders’ meetings, preparing agendas and relevant materials, drafting board and shareholders’ minutes/resolutions and tracking and closing action items from Board meetings
  • Prepare and review documentation to ensure compliance with statutory and regulatory requirements, attending to requests and matters generally in relation to corporate organization, authorizations, corporate legal and governance matters originated from offices in Asia Pacific
  • Assist senior management on corporate governance, compliance with legislative requirement and company policies
  • Maintain confidential records and files, compile regular reports and ad hoc presentations when necessary
  • Follow-up prioritized items to ensure deadlines are met. Perform other ad hoc assignments and special projects where necessary

 

Qualifications and Requirements:

  • Bachelor’s degree in Business Administration, Corporate Governance, Secretarial Studies, Language Studies or related disciplines
  • Minimum 8 years experience in corporate secretarial and/or experience gained from professional firms
  • Multinational environment paralegal experience and legal knowledge is required
  • Knowledge of Mainland Chinese and Hong Kong Companies Ordinance is preferred
  • Ability to work under pressure and independently
  • Good team-player with a strong sense of responsibility
  • A person of high integrity who can be entrusted to maintain confidentiality of sensitive information
  • Good interpersonal and communications skills. Able to work in a fast pace dynamic environment
  • Membership of The Chartered Governance Institute / The Hong Kong Institute of Chartered Secretaries is an advantage but not essential
  • Good command of both written and spoken English and Chinese
