Professionals within Legal and Compliance provide a wide range of services to our business units. They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. They preserve the firm’s invaluable reputation for integrity and protect the firm from sanctions with policies and procedures that meet regulatory requirements around the world. They also strive to maintain cooperative relationships with governmental policy makers and the regulatory and self-regulatory agencies that govern the firm’s businesses.
The Chief Legal Officer’s primary responsibility is to protect the legal and reputational interests of Morgan Stanley Huaxin Securities (the “Company”) and its stakeholders by handling all legal matters arising from its business operations.
In particular, the Chief Legal Officer is responsible for leading and managing a team of lawyers to provide legal support to the front-office transaction teams' day-to-day interactions with clients and potential clients, monitoring activities which require legal input and ensuring that timely and appropriate advice and legal support is provided either by the Legal team or by external legal resources. Primary Responsibilities
-Lead the team in providing overall legal, compliance and franchise risks oversight; review, negotiate and approve external legal documentation and governmental submissions; guide the Company through all adversarial/investigation proceedings.
-Serve as a member of the Company’s various internal control and deal vetting committees to provide guardianship on transaction- and internal control-related risk exposure; provide macro- and project-level guidance on transactional matters and securities sales/trading activities; bridge the gap between Morgan Stanley’s global and APAC legal/compliance standards and China’s local practices.
-Provide sound and timely legal advice and pro-active support to all business divisions and functional areas on business initiatives and issues to help the Company achieve market leadership in a legal and compliant manner.
-Provide legal support and counsel on legal and compliance concerns/issues in connection with China-related capital market transactions (such as IPOs, bond offerings and M&As) sponsored, underwritten and/or advised by the Company.
-Supervise and manage external legal counsel and legal expenditure.
-Perform all general duties and work expected of a general counsel of a PRC securities firm. Qualifications: Skills required (essential)
-Legal qualifications in one or more major jurisdictions; PRC qualification is essential.
-At least 10 years of post-qualification experience preferably at a leading international financial institution and/or a top tier international firm.
-Domestic exposure to capital market transactions is preferred.
-Practical knowledge of PRC laws and regulations.
-Top-notch oral and written communication skills (including legal drafting) in English and Chinese.
-Ability to identify key issues and consistently apply a high standard of integrity, professionalism, business ethics, legal knowledge and expertise.
-Ability to provide commercially focused and value-added legal advice.
-Ability to work independently and prioritize work under pressure.
-Sound judgment and good commercial sense.
-Excellent interpersonal skills.
