Legal Counsel - Derivatives

Location: Hong Kong

Barclay Simpson are hiring on behalf of a multinational financial services business for a mid-level lawyer to join their team to cover the sales and trading business and the structured products business in Asia. This is a new position reporting to the Head of Legal, Asia based in Hong Kong and covering these two areas along with a senior lawyer in the team. 

 

This role will:

 

• Provide product, jurisdiction and documentation specific legal support to the derivatives and repo businesses in Asia 
• Provide legal advice on structured products matters in Asia 
• Instruct and supervise external counsel, including managing costs of external counsel 
• Assisting Legal and Compliance in Hong Kong, Singapore, London and/or New York on regulatory changes in Asia affecting the business as a whole and the the sales and trading business and the structured products business in particular. 

 

Key responsibilities: 

 

• Prepare and negotiate trading documentation for derivatives and repo transactions for Asian clients 
• Monitor, identify and advise on legal risks in support of the structured products, derivatives and repo businesses 
• Obtain and/or review and provide advice on capacity, netting and collateral enforceability opinions in connection with the structured products, derivatives and repo businesses 
• Provide advice and documentation support on trade confirmations 
• Review and provide legal approval for new structured products or derivatives products and/or new jurisdictions for approved structured products, derivatives products and repo products 
• Advise on and manage structured products transactions originated in Asia, including preparing, reviewing, negotiating and approving the relevant legal documentation 
• Liaise with clients, external lawyers, trustees and other transaction parties on structured products transactions 
• Monitor and advise on regulatory changes in Asia which are relevant to MUFG Securities and work with the Legal and Compliance on the effect of such changes in Asia 
• Maintain databases and records of agreements and related documentation 
• Participate in external and/or internal committee(s)/working group(s) relating to regulatory changes, structured products, derivatives and repo 
• Provide holiday cover for other member(s) of Legal where needed 
• Undertake ad hoc projects at the request of the Head of Legal, Asia 

 

Skills and experience: 

 

To be considered for this role you should be Hong Kong / English / Australian or US qualified and have around 2-5 years’ post-qualification experience. You will ideally have with 2 years of experience on structured products transactions including structured OTC derivatives transactions and repackagings and experience on negotiating all types of trading agreements (including ISDA/CSA, GMRA, GMSLA)
